My Story

David represents clients in mergers and acquisitions, real estate, business transactions, corporate and contracts. His clients are entrepreneurs, small businesses and middle-market businesses. Clients have described David as an “entrepreneur who happens to be an attorney.”

 

He represents clients in the sale and acquisition of businesses. He often works closely with brokers to shepherd clients through this complex process from the negotiation of principal terms, preparation of letters of intent, negotiation of the purchase agreement, preparation of transaction documents, navigating complex and controversial disagreements that arise in the course of the transaction, and the closing. He represents family businesses, corporations expanding through acquisition, corporations divesting business divisions or subsidiaries, and private equity groups acquiring and selling portfolio companies.

 

He represents clients in real estate acquisitions and sales, leasing and ownership, and development. His clients acquire land, single-tenant commercial buildings, apartments, office buildings, high-rise buildings and many other types of real estate products. He represents investment groups that acquire and sell portfolios of single-tenant commercial buildings leased to tenants such as banks, auto parts retailers, discount stores, pharmacies, and veterinary clinics. He represented a client who acquire over 50 such properties in 2021 and 2022. He also represents a client in the acquisition and conversion of high-rise buildings to apartments and multi-family developments. He handles planning and zoning issues impacting the development and use of properties.

 

He represents clients to structure, form, and manage their businesses. He represents a broad range of businesses including start-up entrepreneurs, family businesses, investment groups and larger entities. He guides and navigates clients with entity selection, equity structure, governance structure and financial structure. He helps groups of shareholders, members and partners understand and structure buy-sell agreements. He represents investment groups in the structure of investment funds, the structure of ownership of the business and real estate. He represents clients in the structure and implementation of equity incentive programs.

 

He represents clients in the structure and preparation of contracts for business transactions of all kinds that are not specifically described above, including services agreements, consulting agreements, sale agreements, licensing agreements, promissory notes, security agreements, employment agreements and many others.

 

David was born in Taiwan and immigrated to the United States when he was a two-year-old when his father came for graduate school at Rice University. He grew up in Houston, Tulsa, and Plano. He studied biochemistry and economics at Rice University and received his bachelor of arts degree in 1990. He owned his own graphic design business for three years before attending law school at Southern Methodist University and receiving his juris doctorate in 1996. He was licensed in 1996 by the State Bar of Texas.

 

For a few years, David was an equity owner of several businesses and was an entrepreneur who contributed his legal expertise to ventures. These ventures included a video game developer, wireless services master dealer, mobile application developer, online travel reservation service, and a steak and seafood restaurant. These ventures shaped his perspective of representing entrepreneurs and businesses. He knows the importance of getting to a decision, in the right amount of time, and for an appropriate amount of expense. He also understands that business decisions are usually not black and white and that clients need his help to make informed decisions.

 

David is married to Lucy and has twin sons who are grown up. He produces worship services at his church and manages the church’s audio-visual production team. He enjoys watching sports, is a big fan of US Soccer, science fiction, and enjoys good food. He lives and works in Frisco, Texas. He actively participates in the Frisco city government through his work in committees. David was recently appointed by the Frisco City Council to the Frisco Board of Adjustment, and he also serves on the Frisco Charter Review Commission and the Frisco Comprehensive Plan Advisory Committee.
